STREET PARKING, INC. LIMITED TRADEMARK LICENSE

Any and all design logos and the Company's name Street Parking displayed on the streetparking.com website ("Logo" or "Logos" or "Name") are the exclusive property of Street Parking, Inc. (hereafter “Street Parking”). As such, Street Parking owns all right, title and interest in the Logos and Name, including but not limited to, copyright, trademark, service mark, trade dress, moral rights, rights under any statutory protection of fine arts, and otherwise, as applicable (hereafter the “Intellectual Property”).

If an individual desires to use Street Parking’s Intellectual Property for personal use, a direct request for permission is required to be made to Street Parking headquarters via support@streetparking.com.

Notwithstanding Street Parking’s ownership of the Intellectual Property, Street Parking hereby grants users of the streetparking.com and/or spmembersonly.com website previously approved for use a non-exclusive, non-commercial license to use the Logos subject to the following terms and conditions. In addition to requiring permission of use, You must agree to these terms and conditions as a condition of using the license granted herein:

The license to use the Intellectual Property is made on an “As Is” basis without any warranty of any kind;
The license is non-exclusive;
The license is for personal use only. The license does not confer the right to use the licensed Intellectual Property for commercial use of any kind;
In using the license you agree to refrain from asserting any ownership, proprietary or other rights in the Intellectual Property or to challenge, contest, or take any other action inconsistent with Street Parking’s exclusive ownership rights in the Logos, irrespective of any use you may make of any Logo;
In using the license you agree to refrain from seeking any form of registration in any state, federal or foreign jurisdiction, of any trademark, service mark, trade dress, logo or other commercial designation that includes any Logo or any colorable imitation or derivative thereof;
In using the license you agree to refrain from pursuing any claim, action or proceeding against Street Parking based upon any Logo used by you;
In using the license you agree to indemnify and defend Street Parking from and against any claim, cost or liability of any kind, including for copyright and trademark infringement, arising out of your use of any Logo; and
Street Parking reserves the right to withdraw permission to use the Intellectual Property whenever, in its sole discretion, it believes that the privilege is being used in a way that is detrimental to its interests or the above conditions are not being met.
